Terms of Service

1. Agreement to Terms

By accessing or using AxSentinel ("Service"), operated by AxSentinel ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AxSentinel provides software tools designed to detect and prevent the unintentional disclosure of personally identifiable information (PII) and secrets (API keys, credentials, tokens) when using AI coding assistants and chat interfaces. The Service includes a local scanner binary, browser extensions, IDE extensions, an HTTP proxy, and a web-based dashboard for compliance reporting.

3. Accounts and Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials and client tokens
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Subscriptions and Payment

Paid features are billed on a per-seat, recurring subscription basis through our payment processor, Paddle. By subscribing, you agree to pay all applicable fees. Refunds are handled in accordance with Section 10 (Refund Policy).

  • Prices are subject to change with 30 days' notice
  • Subscriptions renew automatically unless cancelled before the renewal date
  • You may cancel your subscription at any time through the dashboard
  • Cancellation takes effect at the end of the current billing period
  • Paddle acts as our Merchant of Record and handles all payment processing, tax collection, and invoicing

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service or scanner binary, except as permitted by applicable law
  • Use the Service to process data in violation of any applicable law or regulation
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Attempt to circumvent any security measures or access controls
  • Use the Service to develop a competing product
  • Share account credentials or client tokens with unauthorized parties

6. Data Processing and Privacy

The AxSentinel scanner operates locally on your device. We do not receive, store, or process the content of your files, code, or messages. The only data transmitted to our servers is detection metadata (event type, count, timestamp) for your compliance dashboard—never the actual content that triggered a detection. 7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT ALL INSTANCES OF PII, SECRETS, OR SENSITIVE DATA. THE SERVICE IS A SUPPLEMENTARY SECURITY TOOL AND SHOULD NOT BE RELIED UPON AS YOUR SOLE METHOD OF DATA LOSS PREVENTION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXSENTINEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

9. Indemnification

You agree to indemnify, defend, and hold harmless AxSentinel and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data breach or security incident arising from your failure to implement adequate security measures beyond the Service.

10. Refund Policy

All payments are processed by Paddle, our Merchant of Record. Refunds are handled in accordance with Paddle's Terms and Conditions. If you are not satisfied with your purchase, you may request a refund by contacting us at support@ax-sentinel.com or through your dashboard billing page. You may cancel your subscription at any time, and you will retain access until the end of the current billing period.

11. Intellectual Property

The Service, including all software, models, documentation, and branding, is owned by AxSentinel and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain all rights to your own data and code.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 9, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which AxSentinel is established, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
